Choose the right state and a compliant name, appoint a registered agent, and file Articles of Organization. That step erects a liability shield that keeps business risks separate from personal assets.

Lay a clean financial foundation early. Get an EIN from the IRS, draft an operating agreement, open a dedicated bank account, and adopt disciplined bookkeeping. These habits prove separateness, speed audits, and prepare you for lenders, partners, and future investors.

Maintenance is predictable if you calendar it. File annual reports and pay state fees, renew local licenses, and track where you operate to avoid silent nexus. As you expand, register as a foreign LLC before hiring or warehousing assets. Keep deadlines visible so good standing never lapses.

On the federal level, LLCs are pass-through by default. Understand LLC taxes: self-employment tax on active income, potential state franchise or gross receipts taxes, and the need to make quarterly estimated taxes that cover income and SE liabilities. Keep a cash reserve and use monthly projections to avoid April surprises.

When profit grows beyond what the market would pay for your role, consider an S-Corp election by filing Form 2553.
